1. Introduction
Welcome to Siri Sounds ("we", "us", "our"). These Terms & Conditions ("Terms") govern your access to and use of our website, products, services, and software (collectively, the "Services"). By accessing or using the Services you accept and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Services
We provide audio delivery, device SDKs, managed support, and related communications solutions (the "Services"). Specific features, pricing, service levels and obligations (if any) will be described in separate order forms, master services agreements, or quotes ("Service Agreement"), which as between the parties will supplement and, where inconsistent, govern over these Terms.
3. Eligibility
You must be at least eighteen (18) years old and able to enter into binding contracts to use our Services. By using the Services you represent and warrant that you meet these requirements and that any information you provide is accurate and complete.
4. Account Registration and Security
- You may be required to register for an account to access certain Services. Keep your account credentials confidential and notify us immediately of any unauthorized use.
- You are responsible for all activities under your account. We are not liable for losses caused by compromised credentials where you or your users are negligent.
5. User Obligations
When using the Services you agree not to: (a) violate applicable laws or regulations; (b) attempt to gain unauthorized access to systems or networks; (c) transmit harmful code or engage in activity that degrades service for others; or (d) reverse engineer, decompile, or modify our software except to the extent permitted by law or a written agreement.
6. Payment and Fees
Fees for paid Services are set out in the Service Agreement or order forms. Unless otherwise stated all fees are non-refundable. You agree to pay all applicable fees and taxes. We may suspend Services for overdue payments after providing notice in accordance with the Service Agreement or applicable law.
7. Intellectual Property
All intellectual property rights in the Services, content, software, trademarks and documentation are owned by or licensed to Siri Sounds. Except for the limited rights expressly granted to you in these Terms or a Service Agreement, we reserve all rights. You retain ownership of any data you submit to the Services.
8. Confidentiality
Each party will protect the other's confidential information using reasonable care and not disclose such information except to employees or contractors with a need-to-know or as required by law. Confidential information does not include information that is public, independently developed, or rightfully received from a third party.
9. Data Protection & Privacy
Our Privacy Policy describes how we collect and process personal data. By using the Services you consent to the collection and use of personal data as described in the Privacy Policy. Where we process personal data as a service provider, we will act as a processor consistent with applicable data protection laws and the Service Agreement.
10. Service Levels & Support
We aim to provide reliable Services and may offer service level commitments in your Service Agreement. Support response times and escalation procedures are described in the Service Agreement or support documentation. We may perform scheduled maintenance and will provide notice when reasonably practicable.
11. Warranties & Disclaimers
Where permitted by law, we provide the Services "AS IS" and disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. Specific warranties, if any, will be set out in a Service Agreement.
12. Limitation of Liability
To the maximum extent permitted by law, Siri Sounds' aggregate liability for any claim related to the Services shall not exceed the total fees paid by you to Siri Sounds under the applicable Service Agreement in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, punitive or lost profit damages.
13. Indemnification
You agree to indemnify, defend and hold harmless Siri Sounds and its affiliates, officers and employees from and against any claims, losses, liabilities and expenses arising from your breach of these Terms, misuse of the Services, or violation of applicable law.
14. Termination
- Either party may terminate the Services as provided in the Service Agreement.
- We may suspend or terminate access for violation of these Terms, unlawful activity, or non-payment after notice where required.
- Termination does not relieve you of obligations to pay outstanding fees or liabilities incurred prior to termination.
15. Export Controls
The Services, software and related technical data may be subject to export control laws. You agree not to access or use the Services in violation of any export laws or regulations.
16. Third-Party Services
The Services may integrate with third-party products or services. We are not responsible for the availability, content, or performance of third-party providers. Your use of third-party services is subject to the provider's terms.
17. Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated to customers or posted on our website with an updated effective date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws specified in the Service Agreement; absent an agreement, they shall be governed by the laws of the jurisdiction where Siri Sounds is incorporated, without regard to conflict of law principles. Disputes will be resolved through arbitration or courts as set out in the Service Agreement.
19. Entire Agreement
These Terms, together with any Service Agreement, order forms, and the Privacy Policy, constitute the entire agreement between you and Siri Sounds regarding the Services and supersede prior agreements.
